Wholesale Terms of Service
Nuvatek Distribution Corporation – Wholesale Terms & Conditions
1. Wholesale Pricing & Order Minimums
-
Wholesale Pricing: All wholesale prices, discounts, and promotional offers are proprietary, confidential, and subject to change without prior notice. Wholesale pricing applies exclusively to approved, active wholesale account holders for resale purposes.
-
Minimum Order Requirements (MOQ): Orders are subject to Nuvatek’s established low minimum order requirements. Nuvatek reserves the right to adjust minimum order quantities or decline orders that do not meet the minimum threshold specified at the time of order placement.
-
Price Changes & Quotations: Written price quotations are valid for thirty (30) calendar days from issuance unless explicitly stated otherwise in writing. In the event of a typographical or pricing error, Nuvatek reserves the right to correct the error and revise or cancel affected orders prior to shipment.
2. Order Acceptance & Final Sale Policy
-
Final Sale Standard: Except as explicitly provided under Section 3 (Defects & Shipping Discrepancies), all wholesale sales are final. Nuvatek does not accept returns, issue refunds, or offer store credit for unsold merchandise, slow-moving inventory, buyer's remorse, or seasonal overstock.
-
Order Modifications & Cancellations: Orders are processed rapidly upon submission. Requests to modify or cancel an order must be received in writing within twenty-four (24) hours of order placement. Once an order has entered fulfillment or shipping, it cannot be canceled or modified.
3. Shipping Discrepancies, Damaged Goods & Quality Issues
Notwithstanding our Final Sale policy, Nuvatek will replace, repair, or issue a credit for merchandise under the following strict conditions:
-
Wrong Items Shipped or Shortages: The retailer must inspect all packages upon arrival. Any shipping discrepancy, wrong item received, or quantity shortage must be reported in writing to Nuvatek Customer Support within five (5) business days of delivery.
-
Damaged or Defective Goods: In the rare event of a manufacturing defect or freight damage:
-
The retailer must notify Nuvatek in writing within ten (10) business days of receipt of goods, providing a detailed description of the defect/damage alongside visual proof (photos/videos).
-
For freight or transit damage, the retailer must retain all original shipping cartons and packaging materials and note the damage on the carrier's Bill of Lading (BOL) upon receipt whenever possible.
-
-
Return Merchandise Authorization (RMA): No returns or exchanges will be accepted without prior written authorization and an assigned Return Merchandise Authorization (RMA) number issued by Nuvatek. Freight returned without a valid RMA number will be refused at the retailer’s expense.
-
Resolution: Upon inspection and verification of a valid claim, Nuvatek will, at its sole discretion, replace the defective/incorrect merchandise, issue a credit memo to the account, or refund the affected items.
4. Refused & Undeliverable Shipments
Shipments refused upon delivery or returned to Nuvatek due to inaccurate delivery details provided by the purchaser will be subject to a 20% restocking fee plus all associated round-trip freight charges.
